Verzatio Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and VResearchLab LLC, a Florida limited liability company doing business as Kavagy ("Kavagy," "we," "us" or "our"), the operator of Verzatio. They govern your use of verzatio.com, app.verzatio.com, and all Verzatio software, agents, forms, widgets, portals, APIs and related services (the "Service").

If you use the Service for an organization, you accept these Terms on its behalf and confirm you have authority to do so. "You" and "Customer" then mean that organization. If you do not agree, do not use the Service.

If you have a signed order form or services agreement with Kavagy, it controls where it conflicts with these Terms.

1. Eligibility

The Service is for businesses and professionals. You must be at least 18 and able to form a binding contract. You may not use the Service if you are barred under U.S. sanctions or export laws.

2. Accounts, sign-in and workspaces

Accounts are currently created by accepting an invitation to a workspace. You can sign in with an email and password, or with a Google or Microsoft account linked to your Verzatio account. Signing in with Google or Microsoft never links to an existing account with the same email automatically. You can turn on two-factor authentication. You are responsible for keeping your credentials secure, for all activity under your account, and for the accuracy of your account information. Tell us promptly at support@verzatio.com if you suspect unauthorized access.

Workspaces. A workspace belongs to the person or organization that created it (the "owner"), and each person can own up to three workspaces. The owner and the workspace admins control who joins a workspace and what each member can do. Content created in a workspace belongs to the workspace, not to the member who created it. The owner is responsible for the workspace's plan, its payments and the conduct of its members.

3. The Service

Verzatio lets you build and run AI agents, chat with AI models, collect information through forms, widgets, chat agents and landing pages, manage work on boards, keep customer records, and connect third-party tools. We may add, change or remove features. Features labeled beta, preview or "coming soon" are provided as-is, may change or end, and are not covered by any commitment.

4. Plans, trials, credits and payment

Free plan. A free plan has the limits shown in the app. When you reach a limit, the related feature stops until the limit resets or you upgrade.

Trials. Paid plan trials last the period shown when you subscribe. When the trial ends, the subscription is charged unless you cancel it before.

Subscriptions. Paid plans are billed in advance, monthly or annually, and renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period.

Credits. AI features consume credits at the rates shown in the app when you use them. Credits are bought in packages or granted by us, and purchased credits do not expire while the workspace exists. Credits have no cash value, cannot be transferred between workspaces or exchanged, are not refundable except where the law requires, and are lost when the workspace is permanently deleted (section 17).

Payment. Payments are processed by Stripe. You authorize us to charge your payment method for fees, credits and applicable taxes. Prices exclude taxes unless stated. If a payment fails, we may suspend paid features after notice. We may change prices with at least 30 days' notice; changes apply from your next billing period.

Refunds. Fees are non-refundable, and we do not give prorated refunds, including when a workspace is deleted, except where the law requires or where we state otherwise in writing.

5. Bring your own key (BYOK)

If you connect your own API key from an AI provider, requests made with it are billed to you by that provider, and your use is subject to your agreement with them. You are responsible for that key and its charges. We are not responsible for a provider's availability, pricing or handling of your data.

6. Your content

Ownership. You keep all rights to the content you and your users upload, submit or create in the Service, including files, prompts, agent instructions, form submissions, records and AI outputs ("Customer Content").

License to us. You grant us a worldwide, non-exclusive license to host, copy, process, transmit and display Customer Content as needed to provide, secure and support the Service and to comply with law, including sending it to the service providers described in our Privacy Policy.

Your responsibilities. You are responsible for Customer Content and for having the rights and permissions needed to use it in the Service. When you use Verzatio forms, widgets, chat agents, landing pages or portals to collect information from your own clients, leads or website visitors, you are responsible for giving them any required privacy notice, obtaining any required consent, and responding to their requests. A data processing agreement is available on request at support@verzatio.com.

Restricted data. Unless we agree in writing, do not use the Service to store or process protected health information under HIPAA, full payment card data, government ID numbers beyond what a workflow strictly requires, or information about children under 13.

7. AI features and outputs

AI outputs are generated by statistical models. They may be inaccurate, incomplete, biased or different each time, and other users may receive similar outputs. You are responsible for reviewing outputs before relying on them or sending them to anyone, and we recommend enabling human review steps for client-facing work.

To answer a request, the relevant content is sent to the provider of the model in use (OpenAI or Anthropic), as described in our Privacy Policy. When web access is turned on for an agent, it may search the web and read public pages. Agents act within the permissions and data you give them, and you are responsible for how you configure them and for the changes they make to boards, forms or connected services.

Outputs are not legal, tax, accounting, financial, insurance or medical advice. Do not use the Service to make decisions with legal or similarly significant effects on a person (such as credit, insurance, employment, housing or benefits decisions) without meaningful human review.

As between you and us, you own the outputs you generate, to the extent the law allows.

8. Integrations and third-party services

The Service connects to third-party products such as Google, Microsoft, Slack, ClickUp and AI model providers. Your use of those products is governed by their terms. When you connect an integration, you authorize us to access and exchange data with it as needed for the features you use. A connection can belong to the workspace or be personal ("My connections"). We are not responsible for third-party products, their changes or their outages, and we may stop supporting an integration if the provider changes or ends its service.

If you add a folder from one of your personal connections to an agent's Knowledge Base, anyone who can run that agent can read the files in that folder through the agent. You can remove the folder or disconnect the account at any time.

9. Cookies

Our website uses essential cookies, which are always active, and, only if you accept them in our cookie banner, analytics and marketing cookies. The Verzatio application uses only essential cookies. You can reject optional cookies without affecting your use of the website or the Service. Details are in section 10 of our Privacy Policy.

10. Acceptable use

You will not, and will not let others:

Break the law, infringe others' rights, or process data you have no right to process.
Send spam or unsolicited messages, or impersonate any person or organization.
Build phishing pages, deceptive forms or chat agents that collect credentials or payment details under false pretenses.
Upload malware or try to breach, probe or overload the Service or other customers' data.
Bypass usage limits, credit metering or access controls, or share accounts to avoid fees.
Use the Service to create content that is illegal, harassing, sexually exploitative, or that facilitates violence.
Use outputs or the Service in violation of the usage policies of the AI provider you selected.
Reverse engineer the Service, or copy it to build a competing product.

We may remove content or suspend access that violates this section.

11. Widgets, portals, API keys, white-label and badge

If you embed Verzatio forms, widgets or chat agents on your sites, publish landing pages, or offer a portal to your clients, you are responsible for those sites, your own terms and privacy notice, and your end users' compliance with section 10. Keep your API keys secret: requests made with your keys are treated as yours. Plans that require the "Powered by Verzatio" badge do not allow you to remove or hide it. If your plan includes a custom domain or branding, you confirm you own or control that domain and brand.

12. Feedback

If you send us ideas or suggestions, we may use them without obligation to you.

13. Our intellectual property

We and our licensors own the Service, including its software, design, templates and documentation. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. All rights not expressly granted are reserved. "Verzatio" and "Kavagy" are our trademarks.

14. Confidentiality

Each party will protect the other's non-public information it receives through the Service with reasonable care and use it only to perform under these Terms. This does not apply to information that is public, already known, independently developed or lawfully received from someone else.

15. Suspension and termination

We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay, create a security or legal risk, or if the law requires it. Where practical, we will give notice first.

You may stop using the Service at any time, delete your account (section 16) and, if you own a workspace, delete it (section 17). We do not currently provide a tool to export Customer Content, so copy anything you want to keep before deleting.

Sections 4 (amounts owed), 6, 7, 13, 14 and 18 to 22 survive termination.

16. Deleting your account

You can delete your account at any time in Personal Settings. If you own a workspace, you must delete it first.
Deletion is immediate and permanent. Your profile, the Google or Microsoft sign-ins linked to your account, your personal connections, private chats, sessions and other personal data are deleted. Content you created in workspaces stays there, shown as "Removed user", and audit log entries are kept with your name and email replaced by "Removed user". Agents whose Knowledge Base uses folders from your personal connections stop reading them.
Deleted data leaves our backups within 8 days. You can later be invited again with the same email address. See Delete your Verzatio data for details.

17. Deleting a workspace

Only the owner can delete a workspace, after typing its name and confirming with their password or a code sent by email.
The workspace is blocked for all members immediately, and the members are notified by email. Published forms, chat and agent widgets, landing pages, API keys and integrations stop working.
The subscription renewal is canceled immediately, without a prorated refund. Remaining credits are lost when the workspace is permanently deleted.
For 30 days, the owner can restore the workspace. After that, all of its content, files and logs are permanently deleted.
We do not currently provide a tool to export workspace data. Copy anything you want to keep before deleting a workspace.

18. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT OUTPUTS WILL BE CORRECT.

19. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US$100. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS OR YOUR INDEMNITY OBLIGATIONS.

20. Indemnification

You will defend and indemnify VResearchLab LLC d/b/a Kavagy and its members, employees and contractors against third-party claims arising from Customer Content, your use of the Service in violation of these Terms or the law, or your collection of data from your end users.

21. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. The state and federal courts located in Broward County, Florida have exclusive jurisdiction, and each party consents to them. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.

22. General

Changes. We may update these Terms. For material changes we will notify account owners at least 30 days before they take effect. Continued use after that date means you accept them.
Entire agreement. These Terms, the Privacy Policy and any order form are the entire agreement on this subject.
Assignment. You may not assign these Terms without our consent. We may assign them in a merger, acquisition or sale of assets.
Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
Notices. We send notices to the email on your account. You send notices to support@verzatio.com.
Severability and waiver. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver.
Independent parties. Nothing here creates a partnership, agency or employment relationship.
